On January 11, 2024, Starbucks Corporation announced that it has received a shareholder proposal from National Center for Public Policy Research requesting Board conduct an audit and report to determine if and to what extent its programs and practices direct systemic discrimination against groups or types of employees, including ?non-diverse? employees. Optimally, the audit and report would include a review of the Partner Networks that have been established at the Company and should reasonably consider the recommendations made by those groups, the mechanism or restrictions on setting up such groups, and the protections against reprisal for the actions or recommendations of any such groups.

The report should be prepared at reasonable cost, omit confidential or proprietary information, and be publicly disclosed on the Company?s website. In addition, the board has recommended a vote against this proposal at the 2024 Annual Meeting of Shareholders.
