Certain Common Stock of Kowa Co.,Ltd. are subject to a Lock-Up Agreement Ending on 8-MAY-2022. These Common Stock will be under lockup for 180 days starting from 9-NOV-2021 to 8-MAY-2022.

In connection with general offering, our shareholders, HIDEICHI CO.,LTD. and Hideaki Tamada, have agreed with Daiwa Securities Co. Ltd. that during the period starting on the date when the issue price is decided and ending on the 180th day from the delivery date of the general offering,without the prior written consent of Daiwa Securities Co. Ltd., they will not sell our shares, securities that can be converted or exchanged for our shares, or securities that represent the right to acquire or receive our shares.
Kowa Co Ltd is a Japan-based company mainly engaged in the manufacture and sale of long-term care products and welfare equipment, the provision of long-term care services, and the sale of long-term care products and welfare equipment via the Internet. The Company operates through three segments. The main products of the Long-term Care Products and Welfare Equipment Manufacturing and Sales segment are welfare equipment such as silver cars, walking cars and canes for the purpose of walking assistance. The Long-term Care Service segment is engaged in the rental of long-term care products and welfare equipment. The Electronic Commerce (EC) segment sells nursing care products and welfare equipment such as wheelchairs, silver cars, and walking vehicles by mail order via the Internet.
