Kowa Co.,Ltd. (JASDAQ:7807) concluded a contract to acquire Sicuro Care Corp. from 3 executives for ¥150 million on February 28, 2019. Under the terms of transaction, Kowa Co.,Ltd. will acquire 200 shares for ¥150 million. Upon completion, Sicuro Care Corp. will become a subsidiary of Kowa Co.,Ltd. For the year ended February 28, 2018, Sicuro Care Corp. had net assets of ¥197.3 million, total assets of ¥240.8 million, sales of ¥186.9 million, operating profits of ¥4.8 million and net income of ¥6.1 million. The transaction has been resolved by the Board of Kowa Co.,Ltd. The transaction is expected to be completed by March 1, 2019.
