Proposal #3: Advisory vote to increase the number of authorized shares of common stock.
Trustmark's shareholders approved an amendment of the Trustmark Corporation Amended and Restated Stock and Incentive Compensation Plan to increase the number of authorized shares that may be issued under the Plan and to update the Plan's provisions addressing dividends and dividend equivalents.
