Appointment of Independent Non-Executive Director

The Board of Directors (the "Board") of Swire Pacific Limited ("Swire Pacific" or the "Company") announces that Professor LIN Syaru Shirley has been appointed as an Independent Non-Executive Director of the Company with effect from 1st January 2020.

Professor LIN Syaru Shirley, aged 51, is Compton Visiting Professor in World Politics at the Miller Center of Public Affairs at the University of Virginia and Adjunct Associate Professor at The Chinese University of Hong Kong. Her teaching and research examine major issues in international and comparative political economy. She was formerly a Partner at Goldman Sachs, where she led the firm's efforts in private equity and venture capital in Asia. She is currently an Independent Non- Executive Director of Goldman Sachs Asia Bank Limited, a restricted licence bank in Hong Kong, Langham Hospitality Investments, a publicly listed trust on the Hong Kong Stock Exchange, and Mercuries Life Insurance Co., Ltd., a public company listed on the Taiwan Stock Exchange. She was appointed by the Hong Kong government to the Hong Kong Committee for Pacific Economic Cooperation and serves on the board of the Focused Ultrasound Foundation in Virginia. Professor Lin graduated cum laude from Harvard College and earned her Master of International and Public Affairs degree with distinction and Ph.D. degree in Politics and Public Administration from The University of Hong Kong.

In accordance with the Company's Articles of Association, Professor LIN Syaru Shirley will hold office as a Director until the annual general meeting to be held in 2020 and will then be eligible for election; thereafter she will retire at the third annual general meeting following her election by ordinary resolution and will be eligible for re-election. She has entered into a letter of appointment, which constitutes a service contract, with the Company for a term expiring on the date of the annual general meeting at which she will retire, which will be renewed for a term of three years upon each election or re-election.

Professor LIN Syaru Shirley is entitled to the director's fee determined by the Board, currently fixed at the level of HK$690,000 per annum.

Professor LIN Syaru Shirley does not have any interest (within the meaning of Part XV of the Securities and Futures Ordinance) in the shares of the Company.

Save as disclosed above, Professor LIN Syaru Shirley does not have any relationship with any Director or the senior management of the Company or with any substantial or controlling shareholder of the Company.

Save as disclosed above, there is no other information relating to Professor LIN Syaru Shirley to be disclosed pursuant to Rule 13.51(2) of the Rules Governing the Listing of Securities on The Stock Exchange of Hong Kong Limited and there is no other matter which needs to be brought to the attention of the shareholders of the Company.
