S-FORM Co., Ltd. agreed to acquire Gang Form manufacturing business from Sammok S-Form Co.,Ltd. (KOSDAQ:A018310) for KRW 2.9 billion on February 12, 2018. The contract is scheduled to be signed on February 12, 2018. Sammok S-Form Co.,Ltd. will receive down payment of KRW 948 million and the remaining KRW 2 billion will be received on the closing date. For the year ended December 31, 2017, Gang Form manufacturing business had sales of KRW 51.1 billion. The board of Sammok S-Form Co.,Ltd. passed a resolution on the transaction on February 12, 2018. As on March 27, 2018, the shareholders of Sammok S-Form Co.,Ltd. approved the transaction. The transaction is expected to complete on May 1, 2018. Nexia-Samduk acted as the external rating institution.
SAMMOK S-FORM CO.,LTD. is a Korea-based company mainly engaged in the manufacture of construction molds. The Companyâs products portfolio consists of aluminum formworks such as aluminum wall and slab decks, high-tech forms, aluminum supports and aluminum girder beams; gang forms used for external wall mold and equipment for plastering and decorating works; special formworks used for bridges and civil engineering formworks, caisson block system formworks and special system formworks, Euro forms, as well as climbing systems such as auto climbing systems, portable climbing systems and others. The Company distributes its products within domestic market and to overseas markets.
