Item 5.02 Departure of Directors or Certain Officers; Election of Directors;
Appointment of Certain Officers; Compensatory Arrangements of Certain Officers
On September 6, 2021, the Board of Directors (the "Board") of Church & Dwight
Co., Inc. (the "Company") elected Brad Cashaw as an independent director of the
Company, effective as of that date. With the election of Mr. Cashaw, the Board
will consist of 11 members. The Board intends to continue to evaluate the size
of the Board and the appropriate number of Board members on an ongoing basis.
The Board has appointed Mr. Cashaw to serve on the Audit Committee of the Board.
Brad Cashaw, 58, is Chief Supply Chain officer at Flowers Foods, Inc.,
responsible for its supply chain strategy and operations. Prior to joining
Flowers Foods in 2020, Mr. Cashaw was Executive Vice President and Chief Supply
Chain Officer at Dean Foods. Prior to that, Mr. Cashaw was Vice President,
integrated supply chain for the Cheese & Dairy division of Kraft Foods Group,
with responsibility for all aspects of the supply chain. He also served as
Senior Vice President, Snacks Supply Chain at the Kellogg Company, with supply
chain responsibility for that operating unit.
Mr. Cashaw will be compensated in accordance with the Company's standard
compensation policies and practices for its non-employee directors (pro-rated
based on start date), which are generally described in the Company's proxy
statement for its 2021 annual meeting of shareholders.
No family relationships exist between Mr. Cashaw and any of the Company's other
directors or executive officers. There are no arrangements or understandings
pursuant to which Mr. Cashaw was elected as a director, and there are no related
party transactions between the Company and Mr. Cashaw reportable under Item
404(a) of Regulation S-K.
