Alpha Holdings, Inc. announced a private placement of 5,970,150 common shares at the price of KRW 1,310 per share for gross proceeds of KRW 6,000,000,750 on December 12, 2022. The transaction will include participation from returning investor Premier Bio Corporation for 2,985,075 shares and new investor Pop Pop Holdings Co., Ltd. for 2,985,075 shares. The company will issue shares of par value of KRW 500 per share through third party capital increase method.

The shares will be locked up for a period of one year. Post closing, the total number of shares issued will increase from 27,917,635 shares to 33,887,785 shares. The transaction has been approved by board of directors of the company.

The payment date for the transaction is March 15, 2024.
