A2A S.p.A. (BIT:A2A) agreed to acquire remaining 20.5% stake in Edipower S.p.A. from SEL AG on October 26, 2015. The transaction has been approved by Edipower and SEL AG shareholders and will become effective as soon as the terms of law have expired and the requirements necessary for the transaction have been fulfilled, in the first quarter of 2016. The transaction foresees the assignment to SEL of a compendium comprising hydroelectric plants owned by Edipower, comprehensive of the plants' personnel as well as assets and liabilities. As of December 30, 2015, non-proportional partial demerger was signed and SEL is assigned the compendium made up of the hydroelectric plants owned by Edipower constituting the so-called 'Nucleo di Udine', together with the active and passive legal relations connected to them, with the exception of the Ampezzo and Somplago hydroelectric plants and the structures pertaining to them, and cash for €38.5 million. Gregorio Gitti and Matteo Treccani of Gitti Raynaud and Partners acted as legal advisors to SEL AG - Südtiroler Elektrizitätsaktiengesellschaft and Annalisa Pescatori and Adriano Pala of Grimaldi Studio Legale acted as legal advisors to A2A S.p.A.

A2A S.p.A. (BIT:A2A) completed the acquisition of remaining 20.5% stake in Edipower S.p.A. from SEL AG on January 1, 2016.
