Minutes No 914 of the Board of Directors Meeting
DATE, TIME AND VENUE: On December 11, 2020, at 1:30 PM, at the Company's headquarters, located at Abramo Randon Ave. 770, in Caxias do Sul, RS.
ATTENDANCE: All members of the Board of Directors, Executive Directors, and Managers, through the digital platform Microsoft Teams.
PRESIDING BOARD: David Abramo Randon - Chairman, and Claudia Onzi Ide - Secretary.
RESOLUTIONS: According to the agenda, known to all, the following matters were addressed:
in compliance with the provisions of Article 4 of the Securities and Exchange Commission's Instruction 371, of June 27, 2002, the Directors approved, without any reservations, the annual review of the technical feasibility study for generating future taxable profits for the Company and its subsidiaries, which enable the realization of deferred tax assets arising from temporary differences, characterized by expenses accrued in the year and not yet deductible for income tax and social contribution purposes, pursuant to the Instruction; and, (ii) after analysis and discussion of the matter, the Directors, by unanimous vote, decided to approve the Policy for Transactions with Related Parties, being agreed that said Policy will have due publicity, through its disclosure on the electronic pages of the Company and the Securities and Exchange Commission, on the world wide web.
CLOSURE: There being no other matters to address, the meeting was closed and the minutes, which read and approved in all its terms, were electronically signed by the digital platform Docusign.
