Tokyo Specs K.K. entered into an agreement to acquire an additional 21.81% stake in Original Engineering Consultants Co., Ltd. (TSE:4642) from Osamu Suga for ¥1.2 billion on November 5, 2018. Under the terms, Tokyo Specs K.K. offered to acquire 1.47 million shares at ¥850 per share. Post completion of the offer, shareholding of Tokyo Specs K.K. will increase from 8.2% to approximately 30% in Original Engineering Consultants Co., Ltd. The listing status of Original Engineering Consultants Co., Ltd. will be maintained after the offer. The Board of Directors of Original Engineering Consultants Co., Ltd. resolved to opine in the favor of the offer on November 5, 2018. The offer will run from November 6, 2018 to December 4, 2018 with settlement to begin from December 10, 2018. Iwata Godo Attorneys and Counselors at Law acted as a legal advisor to Original Engineering Consultants Co., Ltd.
ORIGINAL ENGINEERING CONSULTANTS CO., LTD. is a Japan-based engineering consultancy company specialized in the fields of water supply, sewerage works, sanitation and solid waste treatment. The Construction Consultant business is engaged in the research, planning, designing and construction supervision of water and sewage facilities, as well as the design and seismic diagnosis of buildings and structures. The Information Processing business is engaged in the information management for urban facilities, the development of software, the outsourcing design of facilities, and the provision of support services for system management.
