NV5 Global, Inc. (NasdaqCM:NVEE) acquired Celtic Energy Inc. on on December 31, 2018. NV5 Global, Inc. paid the consideration with a combination of cash and stock. The transaction is immediately accretive to NV5 Global, Inc.'s earnings.
NV5 Global, Inc. (NasdaqCM:NVEE) completed the acquisition of Celtic Energy Inc. for $1.9 million on December 31, 2018. As of March 14, 2019, deal terms were revised and the consideration paid as $1.9 million including $1 million in cash, $0.3 million in promissory note (bearing interest at 3%), payable in three equal installments of $0.1 million on the first, second and third anniversaries of December 31, 2018 and $0.2 million of the NV5 Global's common stock (3,227 shares) issued at the closing date. The purchase price also includes $0.2 million of the NV5 Global’s common stock payable on the first anniversary of December 31, 2018. Further, the purchase price includes a $0.2 million earn-out of cash, which was recorded at an estimated fair value of $0.2 million.

It focuses on multiple verticals: construction quality assurance, infrastructure engineering, utility services, buildings and technology, environmental health sciences, and geospatial technology services.
