Other Events.

As disclosed in the Form 12b-25filed by Mesa Air Group, Inc.'s (the "Company") with the Securities and Exchange Commission ("SEC") on December 14, 2023, the Company was unable to file its Annual Report on Form 10-Kfor the fiscal year ended September 30, 2023 (the "Fiscal 2023 10-K")by the prescribed due date without unreasonable effort or expense. The Company has been unable to complete the procedures related to its year-endreporting process that are necessary for completion of the Company's financial statements as well as the audit of those financial statements by the Company's independent auditors for inclusion in the Fiscal 2023 10-Kwithin the 15-dayextension period. The filing delay is not the result of a forthcoming restatement of the Company's financial statements or any disagreement with the Company's auditors. The Company has been working diligently with its independent auditors to enable completion of the audit of its financial statements and anticipates filing the Fiscal 2023 10-Kwith the SEC as soon as practicable.
