A fund of Triton signed a purchase agreement to acquire HX Holding GmbH from GEA Group Aktiengesellschaft (DB:G1A) for an enterprise value of €1.3 billion including debt on April 16, 2014. Triton will pay about €1 billion and assume pension obligations. Triton's acquisition will be financed entirely by €1.3 billion of high-yield bonds. The bonds issued by Galapagos Holding S.A. and Galapagos S.A. are subject to the laws of New York and are guaranteed by selected subsidiaries. The bonds are launched in the unofficial market of the Luxembourg Stock Exchange. Deutsche Bank, Commerzbank, ING , RBS and UniCredit are leading the financing. Hx holding GmbH reported revenues of €1.5 billion for the year ended 2013. The transaction is subject to approval by the relevant antitrust authorities, regulatory approvals and is expected to close later in 2014. GEA Group Aktiengesellschaft intends to use the proceeds from the sale primarily for further reinforcing its core business by means of targeted acquisitions.
