CFT S p A : The documentation relating to the Shareholders’ Extraordinary Meeting has been published

THE DOCUMENTATION RELATING TO THE SHAREHOLDERS' EXTRAORDINARY

MEETING OF CFT HAS BEEN PUBLISHED

Parma, 10 February 2021 - CFT S.p.A. ("CFT" or the "Company"), announces that today it has made available at the Company's registered office (Via Paradigna 94/A, Parma) and on the Company's website(www.cft-group.com,in the "Investor Relations/Shareholders Meeting" section) the following documents relating to the Shareholders' extraordinary meeting of CFT, convened on 5 February 2021 at Studio Notarile Marchetti, in Milan, Via Agnello 18, for 17 March 2021, at 10:00 a.m., on first call and, if necessary, for 14 April 2021, at 10:00 a.m., at the same place, on second call:

• 1) the form for giving a proxy for representation at the Meeting;

• 2) the Board of Directors' report relating to the agenda of the Meeting;

• 3) the annexes to the Board of Directors' report, including:

  • i. the financial position of the Company as at 31 October 2020;

  • ii. the report relating to the determination of the liquidation value of the shares of CFT pursuant to article 2437-ter, paragraph 2, of the Italian Civil Code provided by Prof. Gino Gandolfi;

  • iii. the opinion of the Board of Statutory Auditors on the liquidation value pursuant to article 2437-ter, paragraph 2, of the Italian Civil Code; e

  • iv. the opinion of PwC S.p.A., as external auditor, on the liquidation value pursuant to article 2437-ter, paragraph 2, of the Italian Civil Code.
