In accordance with the terms of the Share Purchase and Convertible Security Agreement between Australian Pacific Coal Limited and The Australian Special Opportunity Fund, LP: the issue of 9,569,378 shares at an issue price of 2.09 cents per share as payment of commencement fee; and 8,000,000 shares for nil consideration as collateral security for the company's obligations under the agreement
