OPT, Inc. signed a basic agreement to acquire business of provision of advertising effectiveness measurement tool ADPLAN from YRGLM Inc. on November 21, 2019. As on December 20, 2019, OPT, Inc. signed a business transfer agreement to acquire business of provision of advertising effectiveness measurement tool ADPLAN from YRGLM Inc. for approximately ¥320 million. The deal value is payable in cash. The business being sold had net sales of ¥286 million and operating profit of ¥95 million for the fiscal year ended December 31, 2018. The basic agreement was resolved by the Board of YRGLM on November 21, 2019. The business transfer agreement was resolved by the Board of YRGLM on December 20, 2019. The transfer agreement conclusion date is expected in late December 2019 and the transaction is expected to close in January 2020. As per disclosure of December 20, 2019, the business transfer date is January 1, 2020.
