On June 2, 2015, Marisa Gardini resigned as director of Xcel Brands, Inc. and advised the Board that
her resignation was not based on any disagreement with XCel's operations, policies or practices. On June 2, 2015, Michael Francis was appointed as a director of XCel. Mr. Francis was also appointed to serve as a member of the Audit Committee of the Board of Directors of Xcel. Since February 2012, Michael Francis has served as the Chief Global Brand Officer of DreamWorks Animation SKG. During this tenure with DreamWorks, Mr. Francis has been responsible for global consumer products, retail, brand strategy, creative design, location-based entertainment, digital, publishing and franchise development.
