Weathernews Inc. (TSE:4825) agreed to acquire Metnext SAS from NextStage Développement 2006, FCPI and NextStage Développement 2007, FCPI managed by NextStage AM, Elaia Ventures, FPCI managed by Elaia Partners and Bpifrance Participations SA for €4.3 million on December 7, 2016. As reported, Weathernews will acquire 3.6 million shares in Metnext. For the year ended December 2015, Metnext reported net assets of €4.3 million, total assets of €5.3 million, sales of €2.6 million, operating profit of €0.16 million and net income of €0.26 million. The transaction is expected to close on January 16, 2017. Franck David, Gwendal Chatain, Bernard Borrély and Charlotte de Beco of PwC Société d'Avocats acted as legal advisor to Weather News Inc. Steven Perrin of PwC acted as an accountant and provided financial due diligence to Weather News. Jonathan Wohl, Félix Huon, Claire Barra and Laura Morelli of McDermott Will & Emery LLP as well as Anderson Mori & Tomotsune LPC acted as legal advisor to Weathernews. Dominique Dumas of Dominique Dumas Structure acted as legal advisor to the sellers.
