VOLUNTARY ANNOUNCEMENT

INCREASE IN SHAREHOLDING BY

EXISTING SHAREHOLDERS OF THE COMPANY

This announcement is made by Virscend Education Company Limited (the "Company", together with its subsidiaries, the "Group") on a voluntary basis.

The board of directors of the Company (the "Board") was informed by Virscend Holdings Company Limited ("Virscend Holdings") and Lucky Sign Global Limited ("Lucky Sign"), a controlling shareholder and an existing shareholder of the Company, that they respectively acquired 3,987,000 and 1,500,000 ordinary shares of the Company (the "Shares") at an average price per share ranging between approximately HK$1.5434 and HK$1.6003 during 1 April to 9 April 2021 (collectively, the "Acquisitions"). Immediately following the Acquisitions and as at the date of this announcement, Virscend Holdings and Lucky Sign respectively hold 1,313,482,045 and 102,891,000 Shares, representing approximately 42.52% and 3.33% of the total issued share capital of the Company.

The Board considers that the Acquisitions demonstrate the confidence of Virscend Holdings and Lucky Sign towards the prospects and growth potential of the Company.

Virscend Holdings is a company wholly-owned by Mr. Yan Yude, an executive director and a controlling shareholder of the Company.

Lucky Sign is a company owned as to 22.5% by Mr. Ye Jiayu, an executive director, and 77.5% by Ms. Ye Jiaqi, the sister of Mr. Ye Jiayu.

Based on the information available to the Company and to the best knowledge of the directors of the Company, the Company has maintained sufficient public float of the issued Shares following the Acquisitions and as at the date of this announcement.
