UUUM, Inc. (TSE:3990) entered into an agreement to acquire Lemonade Co., Ltd. from Naoya Ishibashi and one other individual seller for approximately ¥500 million on September 14, 2018. Naoya Ishibashi will transfer 85.1% stake through this transaction. UUUM, Inc. will acquire 2,351 shares of Lemonade Co., Ltd. through this transaction. Under the terms of the transaction, Lemonade Co., Ltd. will be absorbed in UUUM, Inc. For the year ended November 2017, Lemonade Co., Ltd. reported total assets of ¥43.2 million, net assets of ¥37.3 million, sales of ¥34.3 million, operating profit of ¥1.3 million, and net profit of ¥2.2 million. Board of Directors of UUUM, Inc. resolved the transaction on September 14, 2018. Deal is expected to close on October 22, 2018. Lemonade Co., Ltd. will be absorbed and merged on November 1, 2018.
