Tosnet Corporation (JASDAQ:4754) acquired Asahi Guard Co., Ltd. from Toru Imafuku, Kazuko Imafuku, Hideki Imafuku and Miyuki Yamazaki for ¥20 million on November 1, 2013. Asahi Guard will operate as wholly owned subsidiary of Tosnet. Toru Imafuku sold 62.5% and Kazuko Imafuku, Hideki Imafuku and Miyuki Yamazaki each sold 12.5% stake in Asahi Guard. Asahi Guard reported, for fiscal year ended March 2013, sales of ¥413.76 million, operating profit of ¥8.61 million, net income of ¥13.96 million, total assets of ¥95.16 million and net assets of ¥51.94 million. The corporate resolution was passed by Tosnet's Board of Directors on November 1, 2013. The scheduled date for share acquisition was November 1, 2013. Tosnet Corporation incurred advisory cost of ¥1.7 million.
