Sailor Pen Co. Ltd. (TSE:7992) announced a private placement of 1,611,000 common shares at ¥31 per share for ¥49,941,000 and 1,279 units of warrants at ¥3,021 per warrant for ¥3,863,859, for total gross proceeds of ¥53,804,859 on November 12, 2012. New investors, Act-Oosugi Co., Ltd will subscribe to 322,000 shares, Hirofumi Kitagawa will subscribe to 645,000 shares, and Yoshitaka Yamada and Sumitaka Matsuoka will subscribe to 322,000 shares. The company held its board of directors' meeting and passed the resolution to carry out a subscription for shares and third round warrants to be issued by third party allocation. Oak Capital Corporation will be issued to 1,134 units for ¥3,425,814 and Masahiro Tahara issued to 145 units for ¥438,045. The warrants will be exercisable into 12,790,000 shares at exercise price of ¥34 per share. The application date and payment date for the transaction is November 29, 2012. The company will incur expenses of ¥13,200,000, which includes ¥6,100,000 for consulting compensation, ¥2,800,000 for investigation expenses for allocation recipients, ¥700,000 for expense for calculation of price, ¥2,100,000 for registration expenses, and ¥1,500,000 for other expenses. Hirofumi Kitagawa will hold 0.84% stake in the company on closing of the transaction. YUSEI Consulting Co. will serve as financial advisor to the company.
