Change in Lead Managers for the Issuance of "TDK Sustainability-Linked Bonds"

TDK Corporation (President & CEO: Shigenao Ishiguro) announces the following change in the lead managers for the issuance of sustainability-linked bonds announced in the press release entitled "TDK Issues Its First Sustainability-Linked Bonds" dated October 20, 2021. We have today submitted a revised corporate bond shelf registration statement for the change.

Background and Reason for the Change

On November 2, 2021, it was revealed that SMBC Nikko Securities Inc. has been under investigation by the Securities and Exchange Surveillance Commission over suspicious breach of the Financial Instruments and Exchange Act (market manipulation). Consequently, we have decided not to appoint SMBC Nikko Securities Inc. as a lead manager for the issuance of the TDK Sustainability-Linked Bonds.

We plan to issue bonds with a total issue amount of up to 100 billion yen. We have decided to respond to issuance of bonds other than the TDK Sustainability-Linked Bonds in the same manner as the above.
