SHL closes acquisition of almeda and will recognize in 2013 an operating profit of 5-7 M$ from the transaction. Will contribute yearly revenues of 7 to 10 M$

Tel Aviv/Zurich, 2 January, 2014 - SHL Telemedicine Ltd. (SIX Swiss Exchange: SHLTN), a leading provider and developer of advanced personal telemedicine solutions, announced today that it has closed the acquisition of almeda GmbH on December 31, 2013, through its wholly owned German subsidiary, SHL Telemedizin GmbH. SHL had announced the transaction in July 2013.

With this acquisition, SHL expands its offering and advances its mission of being the leading provider of telehealth services in Germany. Upon completion of the transaction, effective for the financial results of the 4th quarter 2013, SHL will record a gain in its operating profit, expected to be between USD 5 to 7 million. The profit stems mainly from an agreement to provide products and services that was signed in parallel with the closing of the transaction to acquire almeda.

almeda's telehealth business services patients of various well known Healthcare Insurers. It provides telehealth services to indications such as Congestive Heart Failure, COPD, diabetes and various other diseases and medical helpline services. DKV, the largest customer of the almeda telehealth business and one of the largest German private health insurers and a subsidiary of ERGO, committed to retain the provision of almeda's telehealth services for a 7 year period. almeda's telehealth business will contribute USD 7 to 10 million to SHL's revenues as of 1 January, 2014.
