Zhonghu Kingsware Equity Investment Partnership (Limited Partnership), Zhuhai Xinbao Morningstar Excellence Equity Investment Partnership ( Limited Partnership), Guangzhou Chengxin Venture Capital Co., Ltd., and Guangdong Yifang Kangrui Equity Investment Partnership (Limited Partnership) agreed to acquire a 5% stake in Zhuhai Kingsware Information Technology Co., Ltd from Shenzhen Kingdom Sci-Tech Co., Ltd for CNY 88 million.

Zhonghu Kingsware (Zibo) Equity Investment Partnership (Limited Partnership), Zhuhai Xinbao Morningstar Excellence Equity Investment Partnership ( Limited Partnership), Guangzhou Chengxin Venture Capital Co., Ltd., and Guangdong Yifang Kangrui Equity Investment Partnership (Limited Partnership) agreed to acquire a 5% stake in Zhuhai Kingsware Information Technology Co., Ltd from Shenzhen Kingdom Sci-Tech Co., Ltd (SHSE:600446) for CNY 88 million on September 17, 2021. The consideration will be paid in two installments in the form of transfer under the condition that the payment prerequisites are met and Shenzhen Kingdom Sci-Tech Co., Ltd shall respectively issue a payment confirmation letter to Zhonghu Kingsware (Zibo) Equity Investment Partnership (Limited Partnership), Zhuhai Xinbao Morningstar Excellence Equity Investment Partnership ( Limited Partnership), Guangzhou Chengxin Venture Capital Co., Ltd. and Guangdong Yifang Kangrui Equity Investment Partnership (Limited Partnership) for the above-mentioned equity transfer payment. For the year ended on June 30, 2021, Zhuhai Kingsware Information Technology reported total assets of CNY 130 million, net assets of CNY 110 million, operating income of CNY 30 million and Net profit of CNY 3.81906 million. The transaction has been approved by board of Shenzhen Kingdom Sci-Tech Co., Ltd.
