New Notes Offering

On January 17, 2023, the Company announced, together with Sealed Air Corporation (US), a Delaware corporation and a wholly owned subsidiary of the Company (together with the Company, the "Issuers"), the pricing of the Issuers' offering of $775 million aggregate principal amount of 6.125% senior notes due 2028 (the "Notes"). The Issuers expect the offering to close on January 31, 2023, subject to customary closing conditions. A copy of the press release, dated January 17, 2023, announcing the pricing of the offering of the Notes is attached as Exhibit 99.1 hereto and is incorporated herein by reference.
