Saison Information Systems Co., Ltd. (JASDAQ:9640) agreed to acquire 96.84% stake in APPRESSO K.K. from Cresco Ltd. (TSE:4674), JAFCO V1- B Venture Capital Investment Limited Partnership and JAFCO V1- A Venture Capital Investment Limited Partnership managed by JAFCO Co., Ltd. (TSE:8595), Ant Lead No. 1 managed by Ant Capital Partners Co., Ltd., Reishi Hasegawa, Kazutoshi Ono, and other shareholders for ¥1.5 billion on March 13, 2013. Under the terms, Saison Information Systems Co., Ltd. will acquire 0.01 million shares. Cresco Ltd. will receive ¥507 million for 34% stake. For the year ended June 2012, APPRESSO had net assets of ¥540.62 million, total assets of ¥743.66 million, sales of ¥628.25 million, operating profit of ¥28.21 million, current profit of ¥29.35 million and net income of ¥18.58 million. The deal is resolved by Board of Directors of Cresco Ltd. on March 13, 2013. The share transfer contract with Cresco Ltd. is expected to be concluded on March 29, 2013 and tentative share transfer date is March 29, 2013. The deal is expected to complete on April 30, 2013. As of March 2013, Cresco Ltd. sold 34% stake.
