Note on the processing of personal data within GMS meetings

In accordance with Article 95 of Law 24/2017 on issuers of financial instruments and market operations, republished, as amended, issuers have the right to identify shareholders. At the request of the issuer or, where applicable, of a third party designated by the issuer, intermediaries shall communicate to the issuer, without delay, information on the identity of the shareholder.

Personal data of shareholders shall be processed to enable the issuer to identify its existing shareholders, to communicate with them directly in order to facilitate the exercise of shareholders' rights and their involvement with the issuer.

For the purpose of organizing and holding meetings of the General Meeting of Shareholders, SNTGN Transgaz SA, through the Board of Administration and GMS Secretariat Department, processes personal data of shareholders, natural persons and, where applicable, individuals, representatives of shareholders, both natural and legal persons.

The processing of personal data is carried out in accordance with the provisions of Regulation (EU) No 679 of 27 April 2016 on the protection of natural persons with regard to the processing of personal data and on the free movement of such data, and repealing Directive 95/46/EC.

Personal data processed for the purpose of organizing and conducting GMS meetings are kept in hard and soft copy in the form of GMS meeting files.

For the organization and conduct of GMS meetings, the Board of Administration and GMS Secretariat Department processes the following personal data of natural person shareholders/representatives of natural/legal persons shareholders: name, surname, personal identification number, date and place of birth, nationality, voting rights.

Such data is processed when shareholders request the introduction of additional items on the agenda and/or the submission of draft resolutions for approval by the GMS for items on the agenda, as well as when shareholders exercise their voting rights within GMS meetings. Data is received directly from shareholders or via Depozitarul Central.
