(d) On June 14, 2021, the Nominating Committee of the Board of Directors
("Board") of Rafael Holdings, Inc. (the "Company") elected Ameet Mallik, the
Company's Chief Executive Officer, Shannon Klinger and Mark McCamish to the
Company's Board until the 2022 Annual Meeting, or until his or her successor is
duly elected and qualified or until his or her earlier resignation or removal.
