Prime Road Power Public Company Limited ( the " Company") would like to notify that the Board of Directors' Meeting No. 8/2022 held on 14 July 2022, has resolved to approve the establishment of new subsidiary. The details are as follows:

Investment Objectives	To invest in the renewable energy business
Registered Capital	USD 1,000 Divided into 1,000 ordinary shares with a par value of
	USD 1 each
Shareholding Structure	• Prime Road Group Company Limited (99.98% subsidiary of the
	Company) holds 91% of shares of PSAC
	• Shareholders holds 9% of shares as follows;
	MR. YIN SOTAPANHA holds 5% of shares
	MR. NGUON MUNIROTH holds 4% of shares

The establishment of new subsidiary is not a connected transaction. The Company has also calculated the size of this transaction in accordance with the Notification of the Capital Market Supervisory Board No. TorJor. 20/ 2551 Re: Rules on Entering into Material Transactions Deemed as Acquisition or Disposition of Assets (as amended) and Notification of the Board of Governors Re: Disclosure of Information

and Other Acts of Listed Companies Concerning the Acquisition or Disposition of Assets B. E.2547 (as amended). It is found that the transaction size is not subject to any disclosure under regulations on acquisition and disposition of assets of the listed companies. However, the Company has a duty to report the information in this case since it is considered an acquisition of investment fund in other company by the a listed company or its subsidiary company, resulting in PSAC 1 becoming a subsidiary of the Company.
