On November 10, 2022, Philip Morris International Inc. (the "Company") issued a press release announcing that Philip Morris Holland Holdings B.V., an affiliate of the Company ("PMHH"), acquired shares in Swedish Match AB ("Swedish Match") outside of its previously announced public offer for Swedish Match shares (the "Offer") following the announcement of the outcome of the Offer on November 7, 2022. The total number of Swedish Match shares acquired by PMHH, also including the shares tendered in the Offer at the end of the acceptance period on November 4, 2022, amounts to approximately 85.87 percent of the share capital and the voting rights in Swedish Match (excluding 4,285,810 treasury shares held by Swedish Match). The press release is attached as Exhibit 99.1 to this Current Report on Form 8-K and incorporated by reference to this Item 7.01.
