PAYMENT OF THE WAIVER FEE TO 2020 BONDHOLDERS

NOTICE TO THE PARTICIPANTS

Pursuant to the terms of the eighth resolution of the general meeting of the holders of the Belgian-law bonds issued by Orchestra-Prémaman on 6 November 2014, in the amount of 20 million euros at an initial interest rate of 6.25% per year (and at an interest rate of 5.25% per year for the following years until the 6 November 2020) and with an initial maturity date of 6 November 2020 (the "2020 Bonds"), which met on 13 July 2018, Orchestra-Prémaman hereby announces that a waiver fee will be paid to the 2020 Bondholders on 10 October 2018 with record date on 13 July 2018 which will be used to determine the holdings as basis to define and calculate the waiver fee.

This waiver fee will total 0.30% of the principal amount of the 2020 Bonds and will be paid to each 2020 Bondholder for an amount totalling 0.30% of the principal amount of the 2020 Bonds held by such bondholder (i.e. three hundred euros for each 2020 Bond).

In addition the interest due on the Bonds for the year 2018 and to be paid on 06 November 2018, has been reduced to 0.7875% (representing 15% of 5.25%). The payment of the remaining part of the interest due on the Bonds for the year 2018 (85% of 5.25%) is deferred to the 15 January 2021 if the maturity of the Bonds will be extended by one year (i.e. to 6 November 2021). If the maturity of the Bonds is not extended by one year, the payment of the remaining part will occur on the originalmaturity date (i.e. to 6 November 2020). In such case, the interest due on the Bonds for the year 2020 and to be paid on 06 November 2020, will be increased to 9.7125% (representing the sum of 85% of 5.25% and 5.25%).
