The proceeds from the issuances will be used to permit each respective fund to invest in additional securities in accordance with its investment objectives and policies, repay a portion of its outstanding indebtedness, and to pay costs associated with the transaction.

The VRTP shares will initially pay a dividend based upon a fixed spread to the cost of funds of a large financial institution's commercial paper conduit. VRTP shares are preferred securities of the fund and are senior, with priority in all respects, to the fund's common shares in liquidation and as to payments of dividends.
