NTT DATA : Announcement Regarding Personnel Change in Executive Officers and Organizational Responsibilities

NTT DATA Corporation announced today the implementation of personnel change in executive officers to be appointed on June 17, 2020 and new allocation of organizational responsibilities. As announced on March 27, 2020, the Company plans to shift to a company with an Audit and Supervisory Committee. This personnel change is subject to approval of related proposals at the 32nd Ordinary General Meeting of Shareholders.

Note1: Director will be officially finalized at the 32nd Ordinary General Meeting of Shareholders on June 17th 2020. Director and Executive Vice President (including CEO) will be officially finalized at the board meeting which will be held immediately after the annual general shareholder meeting. The selection of representative directors and executive officers is determined by the Board of Directors after the 32 Ordinary General Meeting of Shareholders.

Note2: As a result of this election, the number of directors will be reduced to 15 as 4 corporate auditors will become directors in accordance with the transition to the Company with Audit and Supervisory Committee.

Note3: Eiji Hirano, Mariko Fujii, Katsura Sakurada and Rieko Sato are Independent Officers based on the rules of the Tokyo Stock Exchange. NTT DATA Corporation plans to register Fumihiko Ike as Independent Director based on the rules of the Tokyo Stock Exchange. As a result, the ratio of independent outside directors in the Board of Directors is 1/3.
