Zeff Capital L.P., a fund managed by Zeff Holding Company LLC, made a proposal to acquire the remaining 91.45% stake in Microwave Filter Company, Inc. (OTCPK:MFCO) for $1.7 million on January 19, 2018. Zeff Capital will pay $0.72 per share in cash as consideration as per the terms of the letter which was received by the Board of Microwave Filter Company, Inc. on January 22, 2018. Financing for the transaction is in place. As of February 13, 2018, the Board of Directors of Microwave Filter has formed a Sub-Committee for the purpose of communicating with Zeff Capital and investigating the proposal. The proposal is conditioned upon, among other things, completion of satisfactory due diligence and negotiation of mutually acceptable definitive agreements.
Microwave Filter Company, Inc. (MFC) is engaged in the designing, development, and manufacturing of filter products. MFC offers products, which covers the frequency range from 5 Hz to 50 GHz for customers around the world. Its custom designs include waveguide, stripline/microstrip, lumped element, dielectric resonator, and cavity/coaxial topologies. Its Filter types and accessories include bandpass, bandstop, combiners, couplers, diplexers, highpass, lowpass and adaptors. MFC also offers a complete line of CATV headend channel deletion filters and networks, bandpass filters and diplexers for wireless and PCS applications; interference filters for C-Band installations; and its team is involved in a number of programs, including communications, broadcast and CATV operators and installers, military/aerospace facilities, universities and government research labs, wireless cable multi-channel, multi-point manufacturers, and distribution systems, and C-band and Ku-band satellite systems.
