Visiomed Group announces a significant reduction in its debt, thanks to the support of its reference shareholder, Perpetua Capital SCSp.

As a reminder, Visiomed Group had taken out a loan agreement with Perpetua Capital on December 13, 2022, and made use of this borrowing capacity to the tune of E1,750,000, the loan having a two-year term and bearing an interest rate of 9%.

Visiomed Group and Perpetua Capital amended the loan agreement, cancelling all accrued interest (E 215,649 at the date of the agreement), reducing the amount due to E 1,750,000 nominal and making it payable within 30 days of the amendment.

The debt due was repaid by offsetting a related receivable through the exercise of 13,157,895 Tranche 5 warrants giving access to 13,157,895 new shares.

Following this operation, Visiomed Group's financial debt is reduced to 5.7 ME compared with 7.9 ME at 31/12/2023, and Visiomed Group's share capital is increased to 3,075,143.14 euros divided into 307,514,314 shares with a par value of 0.01 euro.

The number of exercisable Tranche 5 warrants is reduced from 16,914,750 to 3,756,855.
