JAPAN Creative Platform Group Co., Ltd. (TSE:7814) acquired Am Co., Ltd. and a 49.11% stake in Daiko Senden K.K. from Aiko Yamada, Momoko Matsuda, Etsuko Yamada and Yoshihisa Yamada for approximately Ã610 million on October 26, 2022. As part of the transaction, JAPAN Creative Platform acquires 60 shares representing 100% stake in Am Co., Ltd. from Aiko Yamada, Momoko Matsuda, and Yoshihisa Yamada for Ã219 million and 49,112 shares, representing 49.11% stake in Daiko Senden K.K. from Aiko Yamada, Momoko Matsuda, Etsuko Yamada and Yoshihisa Yamada for Ã392 million. JAPAN Creative directly now holds 49.11% stake in Daiko Senden and the remaining 50.8% stake indirectly through Am Co., Ltd. For the Fiscal year ending April, 2022, Am Co., Ltd. reported Net assets of Ã25 million, total assets of Ã253 million, Sales of Ã10 million, Operating profit of Ã3 million and Net income of 4 million. For the Fiscal year ending April, 2022, Daiko Senden reported Net assets of Ã840 million, total assets of Ã1,175 million, Sales of Ã731 million, Operating profit of Ã80 million and Net income of Ã42 million. The transaction is resolved by the board of JAPAN Creative Platform on October 26, 2022. The impact of the transaction on the consolidated performance of JAPAN Creative Platform for the fiscal year ending December 31, 2022 is expected to be minor.
