Officers.
On January 11, 2023, iCAD, INC. (the "Company") announced the appointment of
Dana Brown as Executive Chair of the Board of Directors (the "Board"), effective
January 6, 2023. Additional compensation for Ms. Brown has not yet been
determined. Professor Timothy Irish, former Chair of the Board, will continue as
a director of the Company.

On January 11, 2023, the Company issued a press release, a copy of which is
filed herewith as Exhibit 99.1, announcing the appointment of Ms. Brown. The
