Hudson Investment Group Limited (ASX:HGL) proposed to acquire two properties located at 41-43 and 47 Brookers Street Bowen Hills QLD from Biogene Property Investments Pty Ltd and Millennium QLD Pty Limited for AUD 10 million on September 24, 2018. Hudson Investment Group Limited will acquire 41-43 Brookers Street property from Biogene Property Investments Pty Ltd for AUD 6.2 million while 47 Brookers Street property from Millennium QLD Pty Limited for AUD 3.8 million. Hudson Investment Group Limited shall pay AUD 0.07 million in cash to Biogene Property Investments Pty Ltd while remaining will be satisfied through issuance of 175 million shares for 41-43 Brookers Street property. On the other hand, Hudson Investment Group Limited shall pay AUD 3.8 million in cash to 47 Brookers Street property to Millennium QLD Pty Limited for 47 Brookers Street property. It is not proposed that there will be a change to the composition of the Hudson Investment Group Limited's Board of Directors or senior management as consequence of the transaction. Completion is subject to Hudson Investment Group Limited raising sufficient funds through the issuance of securities approved by its shareholders. Hudson Investment Group Limited will obtain approval from its shareholders to generate the funds and issuance of consideration shares. Hudson Investment Group Limited will sent notice for meeting to its shareholders in early October 2018 while meeting will be held in mid November 2018. As of January 16, 2019, ordinary resolution approved the issue of 175 million ordinary shares at a deemed issue price of AUD 0.035 per share to non-related parties as part consideration for the purchase by Hudson Investment Group Limited of 41-43 Brookers Street Bowen Hills QLD and 60 million ordinary shares to professional/sophisticated investors at an issue price of AUD 0.035 per share to fund the acquisition of 47 Brookers Street Bowen Hills QLD. Completion is expected to take place in early December 2018.
