GMR Infrastructure Limited (NSEI:GMRINFRA) entered into an agreement to acquire an additional 11% stake in GMR Hyderabad International Airport Limited from Malaysia Airports Holdings Berhad (KLSE:AIRPORT) and MAHB (Mauritius) Private Limited for approximately INR 4.8 billion on February 2, 2018. As per the transaction, GMR Infrastructure Limited will acquire 41.6 million shares of GMR Hyderabad International Airport Limited. GMR Infrastructure Limited will acquire 6460 and 41.6 million shares equals to 0.1% and 10.9% stake from Malaysia Airports Holdings Berhad and MAHB (Mauritius) Private Limited respectively. Post completion, GMR Infrastructure Limited will hold 74% stake while 13% stake will be held by Airport Authority of India and Government of Telangana each.

As of March 31, 2017, GMR Hyderabad International Airport Limited has reported revenue of INR 13.8 billion and net profit of INR 2.9 billion. The transaction is subject to certain conditions including Board of Directors and shareholder's approval from GMR Infrastructure Limited, Malaysia Airports Holdings Berhad and MAHB (Mauritius) Private Limited if applicable, provision of true warranties by both parties and obtaining of relevant consents and approvals from relevant authorities if any. The transaction is expected to complete on December 1, 2018. Parties to the transaction agreed to extend the longstop date to December 31, 2018. The proceeds from the transaction will be used for general corporate purpose and expense related to the transaction. The transaction is not expected to have any effect on Malaysia Airports Holdings Berhad's issued and paid up share capital, net assets, net assets per share and gearing but increase in earnings per share as at December 31, 2018.

GMR Infrastructure Limited (NSEI:GMRINFRA) cancelled the acquisition of an additional 11% stake in GMR Hyderabad International Airport Limited from Malaysia Airports Holdings Berhad (KLSE:AIRPORT) and MAHB (Mauritius) Private Limited on January 2, 2019. The transaction was terminated due to failure of the buyer to complete its obligation in accordance with the terms of the agreement.
