Item 1.01 Entry into a Material Definitive Agreement.

On November 29, 2022, Global Industrial Company (the "Company") and certain of its direct and indirect wholly-owned subsidiaries (together with the Company, the "Borrowers") entered into Amendment No. 3 (the "Amendment") to the Third Amended and Restated Credit Agreement, dated as of October 28, 2016 (as previously amended by Amendment No. 1 dated as of October 19, 2021 and Amendment No. 2 dated as of June 28, 2022) with JPMorgan Chase Bank, N.A., as Administrative Agent, Sole Bookrunner and Sole Lead Arranger, and the lenders from time to time party thereto (the "Credit Agreement").

The Amendment amends the Credit Agreement to, inter alia, increase the aggregate revolver commitment from $75 million to $125 million and make related adjustments to the borrowing base and certain financial, reporting and other select covenants.
