Faurecia Combined Shareholders' Meeting: Appointment of two new directors

During the combined shareholders' meeting of Faurecia, held today, all the resolutions recommended by the Board of Directors have been approved. The shareholders have, in particular, approved the re-election of Messrs. Jean-Pierre Clamadieu, Yann Delabrière, Ross McInnes and Robert Peugeot for a duration of five years as well as the appointment of two new directors: Mr. Jean-Baptiste Chasseloup de Chatillon and Mrs. Amparo Moraleda.

Following the combined shareholders' meeting, the Board of Directors has met and renewed the term of Mr. Yann Delabrière as Chairman of the Board of Directors and Chief Executive Officer. The shareholders have also approved the payment of a dividend of €0.35 per share, to be paid on June 5, 2012.

Mr. Jean-Baptiste Chasseloup de Chatillon

Mr. Jean-Baptiste Chasseloup de Chatillon, 46, is a graduate of the Paris Dauphine University and Lancaster University (UK). He is currently Chief Financial Officer of the PSA Peugeot Citroën Group and a member of the Management Board of Peugeot S.A., having been the Group's Financial Control Manager since June 2007. He joined Automobiles Peugeot in 1989 and has held various positions both in France and at an international level. As treasurer at Peugeot España, he then set up shared financial service centers in Spain, Italy, Belgium, Germany and the UK. In 1999, he became Chief Financial Officer of the Group's UK subsidiaries. In 2001, he was in charge of Eurozone importers for Citroën, and then in 2003 he became Chief Executive of Citroën Belgium Luxemburg. He returned to Paris in 2006 to set up the Group's warranty department.

Mrs. Amparo Moraleda

Mrs. Amparo Moraleda has been appointed as new director of Faurecia, thus bringing to seven the number of independent directors of Faurecia.

Mrs Amparo Moraleda, 47, is an engineering graduate from ICAI (Escuela Técnica Superior de Ingeniería Industrial) in Madrid and has an MBA from the Madrid IESE Business School. From January 2009 until February 2012, she was Chief Operating Officer - Iberdrola S.A. International Division (one of the main producers of renewable energy worldwide). From 1988 to 2008, she held various positions at the IBM Group as part of her role as Systems Engineer. From June 2001 to June 2005, she was, most notably, General Manager of IBM Spain and Portugal. Between June 2005 and December 2008, she was General Manager of IBM for Spain, Portugal, Greece, Israel and Turkey.
