Results of the Board Meeting held on 09 August 2022

Background/Description of the Disclosure

Please be advised that at the meeting of the Board of Directors (the "Board") of Filinvest REIT Corp. ("FILRT") today, 9 August 2022, the Board unanimously approved the following:

1. Declaration of quarterly cash dividends in the amount of PhP0.088 per share to all stockholders of record as of 31 August 2022, and with payment date on 20 September 2022;

2. Amendment of Article V of FILRT's By-laws to include the roles and functions of a Compliance Officer; and

3. Approval of the following Related Party Transactions ("RPT") with Filinvest Cyberparks Inc. ("FCI"):

a. Service Agreement between FCI and FILRT; and
b. Contract of Lease between FILRT, as Lessor, and FCI, as Lessee.

FCI, a subsidiary of Filinvest Land, Inc., is an affiliate of FILRT. The RPTs were unanimously approved by the members of FILRT's RPT Committee before the same were presented to FILRT's Board for approval.
