To consider and adopt the audited consolidated financial statements of the Company and its

subsidiaries (the "Group") and the reports of the directors and the independent auditor of the

Company for the year ended 31 March 2020

To re-elect the retiring directors of the Company (the "Directors"):

Mr. Ng Wing Hang Patrick as an independent non-executive Director

(b)

Mr. Choy Wai Shek Raymond as an independent non-executive Director

To authorise the board of Directors (the "Board") to fix the remuneration of the Directors for the

year ending 31 March 2021 (the "Year 2021")

To re-appoint Deloitte Touche Tohmatsu as the independent auditor of the Company in respect of

the consolidated financial statements of the Group for Year 2021 and to authorise the Board to fix

the remuneration of the independent auditor

To grant a general mandate to issue new Shares*

To grant a general mandate to buy back Shares*

To extend the general mandate to issue Shares by adding the Shares bought back thereto*

To approve the refreshment of the 10% limit on the number of shares which may be allotted and

issued upon exercise of options to be granted under the share option scheme of the Company*

To be valid, this form of proxy together with the power of attorney or other authority (if any) under which it is signed, or a notarially certified copy of such power of authority must be lodged with the Company's registered office at Suite 1902, 19th Floor, The Sun's Group Centre, 200 Gloucester Road, Wanchai, Hong Kong in accordance with the instructions printed thereon not later than 48 hours before the time fixed for holding the AGM or its adjournment thereof (as the case may be) (excluding any public holiday in Hong Kong), if you do not intend to be present at the AGM. Completion and return of the form of proxy will not preclude you from attending the meeting or its adjourned meeting (as the case may be) and voting in person should you so wish.
    In view of the ongoing Novel Coronavirus (COVID-19) epidemic, the Company strongly recommends Shareholders to exercise their voting rights by appointing the chairman of the AGM as their proxy to vote on the relevant resolutions at the AGM as an alternative to attending the AGM in person.
  6. In the case of joint holders, the vote of the senior who tenders a vote, whether in person or by proxy, will be accepted to the exclusion of the vote(s) of other joint holder(s), and for this purpose, seniority will be determined by the order in which the names stand in the register of members of the Company.
  7. This form of proxy must be signed by you or your attorney duly authorised in writing or, in the case of a corporation, must be either under its common seal or under the hand of any officer or attorney or other person duly authorised.
  8. Any member entitled to attend and vote at the AGM is entitled to appoint one (or, if he/she holds two or more shares, more than one) proxy to attend and, on a poll, vote instead of him/her. The proxy need not be a member of the Company but must attend the AGM in person to represent you.

PERSONAL INFORMATION COLLECTION STATEMENT

  1. "Personal Data" in these statements has the same meaning as "personal data" in the Personal Data (Privacy) Ordinance, Chapter 486 of the Laws of Hong Kong (the "PDPO").
  2. Your supply of the Personal Data to the Company is on a voluntary basis and is used for processing your instructions and/or requests as stated in this form of proxy.
  3. Your Personal Data will not be transferred to other third parties (other than the Share Registrar of the Company) unless it is a requirement to do so by law, for example, in response to a court order or a law enforcement agency's request and will be retained for such period as may be necessary for our verification and record purposes.
  4. You have the right to request access to and/or correction of your Personal Data in accordance with the provisions of the PDPO. Any such request should be in writing addressed to the Personal Data Privacy Officer of Tricor Standard Limited at Level 54, Hopewell Centre, 183 Queen's Road East, Hong Kong.
