ENEL AMÉRICAS UPDATES CENTRAL DOCK SUD

SALE PROCESS IN ARGENTINA

Santiago, March 20, 2023 - On Friday March 17th, YPF Luz, the electricity company owned by YPF, notified Enel Américas of its intent to exercise its preferential right to purchase based on all the shares it holds in Inversora Dock Sud S.A., to buy the shares held by Enel Américas in Central Dock Sud S.A. through Enel Argentina. That same day, Pan American Sur S.A. also informed Enel Argentina of its intent to exercise its preferential right to purchase based on the shares it holds in Central Dock Sud.

While Enel Américas issued a press release this past February 17th announcing the sale of Central Costanera and Central Dock Sud to Central Puerto for US$ 102 million (US$ 48 million for 75.7% of Central Costanera and US$ 54 million for 41.2% of Central Dock Sud), at the time, it also clarified that the sale of Central Dock Sud was subject to "certain conditions precedent." Among these conditions precedent was that the shareholders of Inversora and Central Dock Sud did not exercise their preferential right to purchase, which YPF Luz and Pan American Sur have now decided to exercise.

Consequently, over the upcoming days, the parties must sign the corresponding agreements to transfer the shares and finalize the transaction under the same conditions and price as agreed by Central Puerto.

"We are moving forward with our strategic plan, taking an important step to decarbonize our generation matrix, while at the same time focusing our efforts on growth through renewable projects in countries that are advancing swiftly in their energy transition and whose regulation allows us to approach more sustainable development," explains Maurizio Bezzeccheri, CEO of Enel Américas.

Dock Sud owns and operates a gas-powered electricity plant in the Avellaneda district of Buenos Aires, with an installed capacity of 870 MW.

In addition to the assets currently for sale, Enel Argentina, as a subsidiary of Enel Américas, operates Enel Generación's 1,328-MW El Chocón hydropower station. The Group also distributes and sells energy to around 2.6 million customers in the Greater Buenos Aires area, with presence in the energy efficiency, residential services, and distributed generation segments through Enel X Global Retail, and in the e-mobility sector with Enel X Way.
