NOTICE TO THE DEBENTUREHOLDERS OF THE 2ND SERIES OF THE 5TH ISSUE OF SIMPLE DEBENTURES, NOT CONVERTIBLE INTO SHARES, OF THE UNSECURED TYPE, OF CYRELA BRAZIL REALTY S.A. EMPREENDIMENTOS E PARTICIPAÇÕES
EARLY REDEMPTION NOTICE
CYRELA BRAZIL REALTY S.A. EMPREENDIMENTOS E PARTICIPAÇÕES, a publicly-held corporation headquartered at Avenida Engenheiro Roberto Zuccolo, 555,1st floor, Room 1001, in the city and state of São Paulo, with Corporate Taxpayer ID 73.178.600/0001-18 ("Company"), announces to the holders of simple debentures, not convertible into shares, of the unsecured type, of the 2nd series of the 5th debenture issue of the Company ("Debentures of the Second Series") that, as provided by item 5.2 of the Indenture for the 5th Issue of Simple Debentures, Not Convertible into Shares, of the Unsecured Type of Cyrela Brazil Realty S.A. Empreendimentos e Participações ("Indenture"), the Company intends to redeem all the outstanding Debentures of the Second Series ("Early Redemption") under the following terms:
1. Date of Early Redemption and effective payment to debenture holders:October 14,
2013.
2. Number of Debentures eligible for Early Redemption:All outstanding Debentures of the
Second Series.
3. Early Redemption Amount:The Debentures of the Second Series will be redeemed at the outstanding balance of their Unit Par Value, plus the rate of return (calculated on a pro rata basis from the date of the latest payment to the Early Redemption date) and a premium in accordance with the Indenture.
4. Further information:The Early Redemption will be effected according to the procedures adopted by CETIP S.A. - Mercados Organizados for debentures under electronic custody at SND - Módulo Nacional de Debêntures.
