ANNOUNCEMENT REGARDING THE REPLY IN RESPECT OF THE FEEDBACK ON THE REVIEW OF THE APPLICATION DOCUMENTS FOR

THE NON-PUBLIC ISSUANCE OF A SHARES

This announcement is published by China International Marine Containers (Group) Co., Ltd. (the "Company") pursuant to Rules 13.09(2)(a) and 13.10B of the Rules Governing the Listing of Securities on The Stock Exchange of Hong Kong Limited (the "Listing Rules") and the Inside Information Provisions (as defined in the Listing Rules) set out in Part XIVA of the Securities and Futures Ordinance (Chapter 571 of the Laws of Hong Kong).

References are made to (i) the announcement published by the Company on 15 October 2016 (the "Announcement") in relation to the acceptance by the China Securities Regulatory Commission (the "CSRC") of the application for the Non-public Issuance of A Shares; (ii) the announcement published by the Company on 22 November 2016 in relation to the receipt of the "Notice Regarding the CSRC's Feedback on the Review of Administrative Permission Items*" (ʕ਷ᗇ္ ึБ݁஢̙ධͦᄲݟˀ㉿จԈஷࣣٝ'); (iii) the announcement published by the Company on 17 January 2017 in relation to the application for suspending the review of the application documents for the Non-public Issuance of A shares; and (iv) the announcement published by the Company on 19 December 2017 in relation to the resumption of review of the application for the Non-public Issuance of A Shares by the CSRC. Unless otherwise defined herein, capitalised terms used herein shall have the same meanings as those defined in the Announcement.

As at the date of this announcement, in accordance with the requirements of the "Notice Regarding the CSRC's Feedback on the Review of Administrative Permission Items*" (ʕ਷ᗇ္ึБ ݁஢̙ධͦᄲݟˀ㉿จԈஷࣣٝ') (No.162937) (the "Feedback") issued by the CSRC on 18 November 2016, the Company and the relevant intermediaries have conducted careful verification and confirmation regarding the questions raised by the Feedback and provided supplementary information and answers to the questions in relation to the matters concerned. Pursuant to the relevant requirements, specific details of the reply in respect of the Feedback are disclosed in the "Reply in respect of the Feedback on the Review of the Application Documents for the Non-public Issuance of A Shares of China International Marine Containers (Group) Co., Ltd.*" (ʕ਷਷ყऎ ༶ණༀᇌ€ණྠٰ΅Ϟࠢʮ̡ڢʮක೯БAٰٰୃ͡ሗ˖΁ٙˀ㉿จԈΫᔧ') published on the

Cninfo website (www.cninfo.com.cn) and the relevant overseas regulatory announcement published on the website of the Hong Kong Stock Exchange (http://www.hkexnews.hk) by the Company on 11 January 2018, respectively. The Company will submit the reply in respect of the Feedback to the CSRC within 2 business days after the disclosure of the aforementioned reply in respect of the Feedback.

The Non-public Issuance of A Shares by the Company is still subject to the approval by the CSRC, and there are still uncertainties as to whether such approval can be obtained. The Company will duly perform its obligation of information disclosure in compliance with the requirements of relevant laws and regulations according to the progress of the Non-public Issuance of A Shares. Investors are advised to pay attention to the investment risks.
