The board of China Graphite Group Limited announced that Ms. Mak Po Man Cherie has tendered her resignation as (i) the company secretary of the Company; (ii) an authorised representative of the Company under Rule 3.05 of the Rules Governing the Listing of Securities on The Stock Exchange of Hong Kong Limited (iii) the process agent of the Company for accepting on its behalf service of process and notices to be served on the Company in Hong Kong under Rule 19.05(2) of the Listing Rules; and (iv) the authorised representative of the Company under Part 16 of the Companies Ordinance with effect from 4 December 2023. Ms. Mak has confirmed that she has no disagreement with the Board and there are no other matters relating to her resignation that needs to be brought to the attention of the Stock Exchange and/or the shareholders of the Company. Following the resignation of Ms. Mak, the Board announced that Mr. Lei Wai Hoi has been appointed as the Company Secretary, the Authorised Representative under the Companies Ordinance and the Process Agent, and Mr. Zhao Liang has been appointed as the Authorised Representative under the Listing Rules with effect from 4 December 2023.

Mr. Lei, aged 38, is an executive Director, the chief financial officer and a member of the compliance committee of the Company. Mr. Lei joined the Group in March 2021 and is responsible for overseeing the overall financial management as well as corporate governance matters of the Group. Mr. Lei has over 13 years of experience in the accounting and compliance profession.

Prior to joining the Group, Mr. Lei was employed by PricewaterhouseCoopers from October 2009 to July 2017 with his last position as a manager. Mr. Lei served as the financial controller and company secretary of WT Group Holdings Limited a company listed on the GEM of the Stock Exchange from July 2017 to March 2021 and the director of Healthy Luck Holdings Limited, a directly wholly-owned subsidiary of WT Group incorporated in British Virgin Islands from May 2019 to March 2021. Mr. Lei also served as a director of Million Sea Development Limited, an indirectly wholly-owned subsidiary of WT Group incorporated in Hong Kong, from May 2019 to March 2021, where he was responsible for its daily operation.

Mr. Lei obtained a bachelor's degree in business administration from the Hong Kong Baptist University in November 2009. Mr. Lei was admitted as a member of the Hong Kong Institute of Certified Public Accountants in January 2013. The Board would like to express its sincere gratitude to Ms. Mak for her valuable contributions to the Group during her tenure of office.
