CAREER CO., LTD. (TSE:6198) signed a non-binding basic agreement to unknown majority stake in CUBO, Inc. from Masahiko Takegami and Daisuke Kitano for approximately ¥270 million on October 23, 2018. The agreement was concluded on November 29, 2018. CAREER CO., LTD. plans to do the acquisition using funds on hand, however, it is not yet determined. Post completion, CUBO, Inc. will operate as wholly owned subsidiary of CAREER CO., LTD. As of November 29, 2018, CAREER CO., will acquire CUBO, Inc. through issuance of shares with exchange ratio is 269.46. As per the amendment dated January 8, 2018 CAREER CO., LTD. signed supplement agreement on December 28, 2018 as per the agreement, CAREER CO., LTD. will issue 0.43 million shares with exchange ratio of 1:434.08. The Board of Directors of CAREER CO., LTD. passed a resolution for the deal on October 23, 2018. The planned signing of share transfer agreement date is late-November 2018 and planned share transfer execution date is January 1, 2019.
